Three Days to Stop CEOs from Stealing Shareholder Votes



The recently passed Wall Street Reform and Consumer Protection Act gives shareholders—including workers’ pension funds—the chance to vote on CEO pay. But Big Business front groups are putting together devious loopholes, and we only have three days to stop them.

Take Action: Don’t let Big Banks and Wall Street brokers stamp out “say on CEO pay.”

Starting in 2011, shareholders will be able to vote on CEO pay packages. This is great news because:

1. Even if you don’t have any sort of pension, or own any stock, the bottom line is the new Wall Street Reform and Consumer Protection Act will help rein in CEO pay if it’s allowed to work. That’s a good thing for working people and the whole economy.

2. Pension funds hold TRILLIONS of dollars in assets belonging to people who are currently working, as well as retirees. So starting in 2011, there’s a chance to use the collective power of working peoples’ pension money to rein in out-of-control CEO pay that goes against the interests of shareholders.

But the new law is already in danger. The U.S. Chamber of Commerce, the Business Roundtable and other Big Business groups are lobbying hard for devious schemes to gut the new law’s “say on CEO pay” provisions, and we only have three days to stop them. They want the U.S. Securities and Exchange Commission (SEC) to give corporations more control over the proxy voting system—which is how most shareholders would cast votes on CEO pay.

You can help stop their proposals by sending a public comment to the SEC. But hurry! The deadline to submit your comment is Wednesday, Oct. 20.

Tell the SEC: Shareholders should vote on CEO pay—not Big Banks and Wall Street brokers. (If you add your own words and personalize your comment, even a little, it will make a much bigger impact.)

If Big Business wins on CEO pay, the rest of us lose. The Chamber wants to give Big Banks and Wall Street brokers power to vote on behalf of shareholders—knowing they’ll almost always vote to rubber-stamp excessive CEO pay. And the Business Roundtable wants to weaken investor privacy protections so corporations can send shareholders junk mail soliciting votes in favor of…whatever votes management wants.

Send your public comment to the SEC: Don’t let Big Banks and Wall Street brokers rubber-stamp CEO pay.

Groups representing Big Business are hoping to sneak through these seemingly “technical” changes while nobody’s paying attention. But the fact is, these proposals will undermine the voting rights of shareholders in corporate elections—and because shareholder voting rights will rein in CEO pay, that’s a big deal for everyone who cares about working people in America.

P.S. The U.S. Chamber of Commerce is already trying to buy our elections with gobs of money from secret donors. Don’t let the Chamber undermine our new rights to rein in excessive CEO pay, too. Wall Street doesn’t like King Coal anymore. In the last two years, the biggest banks in America have adopted policies to phase out financing of mountaintop removal (MTR) coal.

Unfortunately, PNC didn’t get the memo.

Send PNC CEO James Rohr an email and tell him to stop financing MTR now.

Since 2008, PNC has provided over $130 million to six of the eight largest MTR coal mining companies, including the worst of the worst- Massey Energy. PNC Bank is now the largest financier of mountaintop removal in the US.

While boasting to be the “greenest bank in the business,” PNC continues to bankroll the wholesale destruction of the Appalachian Mountains. Too bad the “greenest bank” is focused solely on greenbacks.

Tell PNC’s CEO to put his money where his mouth is and protect America’s mountains from MTR.

PNC has not made a single attempt to stop financing mountaintop removal. But we want to change that.

RAN and our allies have convinced much larger banks like Chase and Wells Fargo to move away from backing mountaintop removal mining. PNC is next.

We’re not stopping until there isn’t a bank left in the biz willing to finance the flattening of Appalachia and the poisoning of her people.

My rant …sorry for the mis info this morn … the 60million dollar issue is addressed in an article on the blog …read it

Today we are not just talking about class war but the Republican Tea party has been able to stir up public dissent and obviously if given the opportunity will:  put Corporations ahead of the people  ,continue race baiting, using fear and hate to make points to win in November and it is starting to get under my skin. I know that this same crap happened when folks were debating how competent Palin was and if you were watching “the Media” played her as the spoiler ready to go. It was upsetting that so many had that same tingle going up their leg but with all the noise coming from so many places common sense prevailed. The question is will people come to their senses before making their final decision on Nov.2nd or will we get played and succumb to repeal, replace, and an elimination of what America is. Will someone tell me what happened to our democracy that people would much rather vote for a looney tunes then those who truly have the people, the country in mind before profits and purity ideology….

When will Republican constituents finally get tired of do as we say not as we do mentally?

This morning while on the bus, I  picked up on a possible shady move by Republican Governor Christie that should show all of us one of several reasons  why we should not trust Republicans and why our economy has yet to improve. The money already spent and jobs lost from possibly killing the Hudson Tunnel project is an act that is reprehensible. The actions from  Governor Christie plus major Corporations who seemingly are the ones who create jobs …are clearly holding out, outsourcing and refusing to be apart of the economic solution.  They have quickly become an even bigger problem now that we are 2weeks away from the mid-term elections and if there is such a thing as fair and balanced all those who have dumped, solicited and took foreign money will be found out and be subjected to the rule of law. The Supreme Court, specifically Justice Roberts and the law he helped to enact which put Corporations on the same playing field as an individual seriously needs vetting.  To continue …Since we only have a couple of weeks left before the mid-term elections the rants probably will be about the crap being said done or the videos being made by the Republican Tea Party that are questionable at best silly though not funny and offensive and racially moved. When i registered to vote it was to be a democrat, there was no question because my parents made it clear exactly which side of the aisle Republicans stand and why. It was clear then and now it has become  even more apparent in this year of 2010 it is an American duty to vote for politicians that work for the greater good…People need to ask themselves what qualities are needed to do the peoples business not just a select few but for All Americans. The vote on November 2nd will be a vote for a Congress that will do more research before forcing a pre-emptive strike and going into war. someone open to new science…like stem-cell research, admitting that there are enough gays in congress and other parts of the political arena that the laws need to be changed, someone willing to say that women and men should be paid the same and change it, admit that minorities are not represented on all levels and change it , who have not lost  compassion for others and are willing to stand up and speak out for the middle and lower class. The things we are going through are all non-partisan realities… we are living in a different world…one that requires us to come together and decide as a human race, not as democrats or republicans; at least that is what the American public use to think but after losing power to the Democratic Party in 2008 and having the first African-American President the Republican Tea Party has decided to go not just extreme but use discrimination as a threat to all those who are non-white i guess because I personally cannot think of anything else they can use. The mid-term elections were called the year of the woman, Republican Tea Party crazy women that is and got to say as a woman they not only offend me just exactly how Sarah Palin did back in 2008 with strange comments. It is offensive and apparently folks on the right of center would rather have the crazies in power and while the comments are outlandish and those of us with common sense say wow that is crazy but feel, no one could take this stuff too crazy. The fact is something ugly is going on out there and it is stirring up people to vote for a different party right in the middle of a recession just because the corrections have not happened yet. It is sad that folks think for even one moment that years of financial deregulation, Wall Street bets, and outsourcing would only take 2yrs to fix but when people actually start to believe that the Republican Party has more knowledge or trust to get us back on track we all have to wonder if people have lost their minds. I have to say -WTF because the house of Bush took office with a surplus and the end of his 2nd term he gave up his power with America just about ready to fall of the edge of a ditch. It is clear that folks just do not get that it will take time to fix our economy and right now if you are even paying attention the trickle down that Republicans talk about just ain’t happenin it didn’t then and it isn’t now … people need to understand that Corporations are holding back their funds until they get their way and who is suffering because of this -All Americans not just the democratic side of the issues. I cannot tell anyone how upsetting that states continue to lay off Teachers,firefighters, emts and the police …

What information do constituents of the Republican Tea party need …what will happen if they shut down the govt- what will happen to your family if they do repeal everything and more importantly what will your neighborhood look like when the chaos reaches your town.

i hope that people who have yet to decide who they will be voting for understand the need for a change in the way the mid-term elections are viewed in the year 2010. The idea that the midterms are no big deal is just old school politics because the end result or impact was usually in your own particular state. We all have to accept that the mid-terms are a beacon of the change some of us voted for in 2008 because the fact is …what happens on Nov. 2 will determine our future and could move us forward into the 21st Century or the middle and lower class could continue living with the status quo. It will be the difference between moving stem cell research along, standing up and speaking out for the current Hyde amendment, agreeing to move immigration reform to the table and keeping laws like SB1070 and the birther law out of the hands of states willing to engage in racial profiling to control their reasonably suspicious people, btw the idea that being undocumented here in the US  refers to Hispanics only is absurd. The US is going through non-partisan realities that need to be handled by people(All of Congress) who care about health care reform and all the corrections that are needed, equal wages for equal work, maintain religious freedom as well as the separation of church and state, a woman’s right to choose, oil prices, our environment,education, local and national disaster response time improvements. We are ten years out and parts of New Orleans still look like such a disaster. We told Haiti we would help but not only is that not moving forward quick enough there are reports that money donated have yet to become a reality. It is obvious we all need to be watchdogs of our own destiny, vote out Republicans who have a history of definitely making bad decisions or things will get worse. We have people who claim to be lobbying when in fact they are bribing officials and embezzling funds not just from Wall Street, Main Street or even Average Joe but from 1st nation people and Black Farmers, we have sexual predators who are in charge of and who make laws that will guarantee the safety of our kids, government officials making passes at young men in what should be safe environments for anyone while at work. We have candidates from the right who clearly are on the extremist side of the issues trying to get into positions of power who obviously only plan to represent only a select few and will repeal, replace and eliminate as soon as they grab power. If you listen to both sides of any political debate, interview or panel discussion it all seems extremely simple to me… a change has to be made and yes, I definitely am biased. I believe for change, positive change for All Americans is to get truer Dems on the floor of Congress… our vote on November is the way to start showing our power as Americans… Vote Dems November 2nd
